1. Acceptance of Terms

By accessing, using, or creating an account on CompeteHQ ("the Service"), you ("User," "you," or "your") agree to be legally bound by these Terms of Service ("Terms"). If you do not agree to all Terms, you must immediately discontinue use of the Service. These Terms constitute a binding legal agreement between you and CompeteHQ.

2. License Grant

Subject to your compliance with these Terms, CompeteHQ grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use. This license does not include any right to resell, distribute, or sublicense the Service or its content.

3. User Content and Ownership

By submitting, posting, or uploading any content to the Service ("User Content"), you grant CompeteHQ an irrevocable, perpetual, worldwide, royalty-free, fully paid-up, transferable, sublicensable license to:

• Use, reproduce, modify, adapt, and distribute your User Content
• Create derivative works from your User Content
• Display, perform, and transmit your User Content
• Incorporate your User Content into other works
• Use your User Content for any commercial or non-commercial purpose
• Sublicense these rights to third parties without restriction

This license survives termination of your account and these Terms. You waive any moral rights in your User Content to the fullest extent permitted by law.

4. Intellectual Property

All intellectual property rights in the Service, including but not limited to software, design, graphics, text, and trademarks, are owned exclusively by CompeteHQ or its licensors. Nothing in these Terms grants you any rights to CompeteHQ's intellectual property except as expressly stated herein.

5. User Obligations

You agree to:

• Provide accurate and complete information when creating your account
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Comply with all applicable laws and regulations
• Not use the Service for any illegal or unauthorized purpose
• Not attempt to reverse engineer, hack, or compromise the Service
• Not interfere with or disrupt the Service or its infrastructure
• Not upload malicious code, viruses, or harmful content
• Not impersonate any person or entity
• Not harvest or collect user data without authorization

6. Termination

CompeteHQ may terminate or suspend your access to the Service at any time, for any reason or no reason, with or without notice, and without liability. Upon termination, your license to use the Service immediately ceases. CompeteHQ reserves the right to delete your account and all associated data without prior notice. Sections 3, 4, 7, 8, 9, 10, and 11 survive termination.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR AVAILABILITY. COMPETEHQ DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOU USE THE SERVICE AT YOUR OWN RISK.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPETEHQ AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO YOUR USE OR INABILITY TO USE THE SERVICE. IN NO EVENT SHALL COMPETEHQ'S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO COMPETEHQ, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE DOLLAR ($1.00), WHICHEVER IS GREATER.

9. Indemnification

You agree to indemnify, defend, and hold harmless CompeteHQ and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your User Content.

10. Dispute Resolution

Any dispute arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive any right to participate in a class action lawsuit or class-wide arbitration. The arbitration shall take place in a location determined by CompeteHQ. The arbitrator's decision shall be final and binding.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the courts located in a jurisdiction determined by CompeteHQ.

12. Modifications

CompeteHQ reserves the right to modify these Terms at any time without prior notice. Changes are effective immediately upon posting to the Service. Your continued use of the Service after any modifications constitutes acceptance of the revised Terms. It is your responsibility to review these Terms periodically for changes.

13. Service Modifications

CompeteHQ reserves the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice, and without liability to you or any third party.

14. No Waiver

CompeteHQ's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by CompeteHQ.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

16. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and CompeteHQ regarding the Service and supersede all prior agreements, understandings, and communications.
