1. Acceptance of Terms
By accessing or using CompeteHQ ("the Service"), including our website at competehq.com and our mobile application, you ("you" or "User") agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, do not use the Service. If you are using the Service on behalf of an organization (such as a sports league or club), you represent that you have authority to bind that organization to these Terms.
2. Description of Service
CompeteHQ is a practice planning and team management platform designed for youth sports coaches. The Service allows users to create practice plans, manage team rosters, browse a library of drills and templates, collaborate with coaching staff, and distribute practice plans to their team.
3. Account Registration
To use the Service, you must:
- Be at least 18 years of age (or the age of majority in your jurisdiction)
- Provide accurate, current, and complete registration information
- Maintain the security of your account credentials
- Promptly update your information if it changes
- Accept responsibility for all activity that occurs under your account
You may register using an email and password, or through Google or Apple sign-in. You must notify us immediately at support@competehq.io if you suspect unauthorized access to your account.
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of these Terms
- Upload or transmit viruses, malware, or other harmful code
- Attempt to gain unauthorized access to the Service, other accounts, or our systems
- Reverse engineer, decompile, or disassemble any part of the Service
- Scrape, crawl, or use automated means to access the Service without our written permission
- Impersonate any person or entity, or falsely state your affiliation
- Harass, abuse, or harm other users
- Use the Service to collect personal information about minors for purposes unrelated to team management
- Interfere with or disrupt the Service or the servers and networks connected to it
- Use the Service in a way that could overburden our infrastructure
We reserve the right to suspend or terminate accounts that violate these terms, with notice where practicable.
5. User Content and Ownership
5.1 Your Content
You retain ownership of all content you create or upload to the Service ("User Content"), including practice plans, custom drills, coaching notes, team rosters, and uploaded images. CompeteHQ does not claim ownership of your User Content.
5.2 License to CompeteHQ
By using the Service, you grant CompeteHQ a limited, non-exclusive, worldwide, royalty-free license to host, store, display, and transmit your User Content solely as necessary to provide and operate the Service. For example, we need this license to store your practice plans in our database and display them to your team members. This license ends when you delete your content or your account, except for content you have shared to the Community (see Section 5.3).
5.3 Community-Shared Content
If you choose to share content to the CompeteHQ Community feature, you grant CompeteHQ and other users a non-exclusive, royalty-free license to view, use, and adapt that content for their own coaching purposes. You may unshare content from the Community at any time, which will remove it from future display. Copies already saved by other users may persist in their accounts.
5.4 Content Responsibility
You are solely responsible for your User Content. You represent that you have all necessary rights to upload and share the content you provide, and that your content does not infringe on the intellectual property rights of any third party.
6. CompeteHQ Content and Intellectual Property
The Service, including its design, software, text, graphics, logos, and the CompeteHQ drill library, is owned by CompeteHQ and protected by intellectual property laws. The drill library content (drills, descriptions, coaching points) is provided for your personal coaching use within the Service. You may not reproduce, distribute, or create derivative works from CompeteHQ's proprietary content outside of the Service without our written permission.
7. Roster Data and Minors
As a coach or team administrator, you may enter information about minor athletes on your team roster. By doing so, you represent and warrant that:
- You have proper authorization (as a coach, league administrator, or parent/guardian) to enter this information
- You will only enter information that is reasonably necessary for team management
- You will keep roster information accurate and up to date
- You will promptly remove information for players who leave the team
- You will comply with all applicable laws regarding children's data, including COPPA (Children's Online Privacy Protection Act) where applicable
CompeteHQ processes roster data on your behalf for team management purposes. If a parent or guardian contacts us regarding their child's data, we will work with the relevant team administrator to address their request. See our Privacy Policy for more details on how we handle children's information.
8. Fees and Payment
CompeteHQ currently offers the Service free of charge during our launch period. We reserve the right to introduce paid plans or features in the future. If we introduce fees, we will provide you with at least 30 days' advance notice and you will have the option to continue with a free tier or cancel your account. We will never retroactively charge for features that were free when you used them.
9. Service Availability
We strive to keep the Service available and reliable, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned downtime. We reserve the right to modify, suspend, or discontinue the Service (or any part of it) at any time. If we permanently discontinue the Service, we will provide at least 30 days' notice and a reasonable opportunity to export your data.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. COMPETEHQ DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. COMPETEHQ DOES NOT PROVIDE MEDICAL, ATHLETIC TRAINING, OR PROFESSIONAL COACHING ADVICE. ANY DRILLS, PRACTICE PLANS, OR COACHING CONTENT AVAILABLE THROUGH THE SERVICE ARE FOR INFORMATIONAL PURPOSES ONLY. YOU ARE SOLELY RESPONSIBLE FOR THE SAFETY AND WELL-BEING OF YOUR ATHLETES DURING PRACTICES AND ACTIVITIES.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COMPETEHQ AND ITS FOUNDERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR USE OF OR INABILITY TO USE THE SERVICE; (B) ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA; (C) ANY THIRD-PARTY CONDUCT ON THE SERVICE; OR (D) ANY OTHER MATTER RELATING TO THE SERVICE. IN NO EVENT SHALL COMPETEHQ'S TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF THE AMOUNT YOU PAID TO COMPETEHQ IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR FIFTY DOLLARS ($50.00 USD).
12. Indemnification
You agree to indemnify and hold harmless CompeteHQ and its founders, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; (d) your User Content; or (e) your entry or management of roster data, including any claims related to minors' information.
13. Termination
By you: You may delete your account at any time through the Service or by contacting us at support@competehq.io. Upon deletion, we will remove your personal data in accordance with our Privacy Policy.
By CompeteHQ: We may suspend or terminate your account if you materially violate these Terms, engage in conduct that could harm other users or the Service, or if required by law. Where possible, we will provide notice and an opportunity to cure the violation before termination.
Effect of termination: Upon termination, your right to use the Service ceases immediately. Sections 5 (User Content), 6 (IP), 10 (Disclaimer), 11 (Liability), 12 (Indemnification), 14 (Disputes), and 15 (Governing Law) survive termination.
14. Dispute Resolution
Informal resolution first: Before filing any formal proceeding, you agree to contact us at support@competehq.io and attempt to resolve the dispute informally for at least 30 days.
Binding arbitration: If informal resolution fails, any dispute arising from these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration will be conducted in English and held remotely (by video or telephone) unless both parties agree to in-person proceedings.
Class action waiver: You agree that disputes will be resolved on an individual basis only. You waive any right to participate in a class action, class arbitration, or representative proceeding.
Exceptions: Either party may bring a claim in small claims court if eligible. Either party may seek injunctive relief in any court of competent jurisdiction for intellectual property infringement or unauthorized access to the Service.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State in which CompeteHQ is headquartered, without regard to conflict of law principles. For any legal action not subject to arbitration, you consent to the personal jurisdiction of the state and federal courts located in that jurisdiction.
16. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms on the Service with a new "Last Updated" date and, where feasible, by sending you an email notification at least 15 days before the changes take effect. Your continued use of the Service after the changes take effect constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you should stop using the Service and delete your account.
17. General Provisions
- Entire agreement: These Terms and our Privacy Policy constitute the entire agreement between you and CompeteHQ regarding the Service.
- Severability: If any provision of these Terms is found unenforceable, that provision will be modified to the minimum extent necessary, and all other provisions remain in full force.
- No waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
- Assignment: You may not assign your rights under these Terms without our written consent. CompeteHQ may assign its rights in connection with a merger, acquisition, or sale of assets.
- Force majeure: CompeteHQ shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, internet outages, government actions, or pandemics.
